This leader will be responsible for creating, engaging and implementing a functional vision and strategy that facilitates business growth. The SVP, Legal and General Counsel is responsible for all aspects of the Legal function for SEA. This leader will be a role model and champion for the company's values and standards and will take a roll up your sleeves approach that is efficient, non-bureaucratic, straight forward, and results-oriented. In doing so, Legal should be known as a provider of effective solutions, while being open, positive, proactive, and possibility-driven. This leader should possess experience and style that encourages people to seek him/her out for trusted advice and counsel. The SVP, Legal and General Counsel will play an active involved leadership role and partner with executive management and business leaders to develop integrated programs to support the company's evolving vision, business plans, standards, and priorities.Role and Responsibilities Develop and lead corporate legal strategy to promote and protect the company's matters. Direct people management of a mid-size legal team and experience in growing and developing internal talent and securing the next iteration of leadership on the legal team. Directs the legal considerations and filings in relation to all SEA legal affairs. Coordinates with SEC and manages outside counsel in litigation activities and processes. Develops, directs and negotiates settlements. Conducts corporate client meetings to identify and provide legal counsel, guidance and direction. Provides and prepares opinions and statements of corporate legal position and strategies. Directs legal defense activities to ensure maximum protection of the company's Intellectual Property interest. Provide accurate legal guidance to the executive staff on all matters that affect the company. Advisory services for all legal activities in partnership with the external legal counsel and internal leadership team. Participate in executive level meetings related to the future direction of the company and changes in policy. Overseeing delivery of legal services and resources to accomplish corporate goals, strategies and priorities. Ensure that the company is in compliance with all current business process laws. Maintaining proper corporate interactions with the relevant local, state and federal government bodies, legislatures and the community at large. Skills and Qualifications Juris Doctorate from an Accredited US Law School with 20
years of legal practice experience; Member in good standing of one US state bar, and ability to become member in good standing of NJ bar or qualify as in-house counsel in NJ. The ability to negotiate and convince others in adversarial environments, including defense attorneys, customer leadership, VP's, Directors & Managerial staff and employees with opposing views and interest to accept and approve negotiations, plans, proposals and recommendations. Deep experience growing and developing team and legal professionals. Experience supporting multiple organizations as legal counsel. Proven understanding of national and international trademark and copyright laws. Proven experience managing data privacy, CJIS, HIPAA and FERPA issues Experience in IT transactional matters including software licensing, SaaS, and managed services Experience in general legal matters including NDAs, supply chain agreements, employment law, property leases Ability to make professional legal and business presentations in writing, through emails and reports, or orally, including complex legal, business and technical matters to an audience of high technical skills, management and operational experience. Ability to direct outside retained counsel members to achieve contracted objectives and team goals and to achieve results within established time frame requirements. Ability to develop legal opinions and business objectives, clearly define results to be achieved, make decisions, give direction and measure individual/team performance and results. Close visual acuity to perform an activity such as:
preparing and analyzing data; transcribing/typing; viewing a computer; extensive reading.
Salary Range:
$250K -- $500K+
Minimum Qualification
Legal & RegulatoryEstimated Salary: $20 to $28 per hour based on qualifications.
